Terms of service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions of use for the online shop (hereinafter referred to as the "Service") provided by ＿＿＿＿＿ (hereinafter referred to as "the Company") on this website. Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.

Article 1 (Application)

  1. These Terms shall apply to all relationships between Users and the Company in connection with the use of the Service.
  2. The Company may, in addition to these Terms, establish various rules regarding the use of the Service (hereinafter referred to as "Individual Provisions"). Regardless of their name, these Individual Provisions shall constitute part of these Terms.
  3. If any provision of these Terms conflicts with the provisions of the Individual Provisions set forth in the preceding paragraph, the provisions of the Individual Provisions shall prevail unless otherwise specified in the Individual Provisions.

Article 2 (Registration)

  1. For the Service, registration shall be completed when an applicant agrees to these Terms, applies for registration in the manner prescribed by the Company, and the Company notifies the applicant of its approval of the application.
  2. The Company may refuse to approve an application for registration if it determines that the applicant falls under any of the following circumstances, and the Company shall not be obligated to disclose the reasons for such refusal.
    1. Where the applicant has provided false information in the registration application
    2. Where the application is from a person who has previously violated these Terms
    3. Where the Company otherwise determines that the registration is not appropriate

Article 3 (Management of User ID and Password)

  1. Users shall manage their User ID and password for the Service at their own responsibility.
  2. Users may not, under any circumstances, transfer or lend their User ID and password to a third party, or allow a third party to use them jointly. If a login is made using a combination of User ID and password that matches the registered information, the Company shall consider such use to be by the User who registered that User ID.
  3. The Company shall not be liable for any damages arising from the use of a User ID and password by a third party, except in cases where such damages are caused by the Company's intentional misconduct or gross negligence.

Article 4 (Sales Contract)

  1. For the Service, a sales contract shall be established when a User submits a purchase application to the Company and the Company notifies the User of its acceptance of such application. Ownership of the relevant product shall transfer to the User at the time the Company hands over the product to the delivery carrier.
  2. The Company may cancel the sales contract set forth in the preceding paragraph without prior notice to the User if the User falls under any of the following circumstances.
    1. Where the User has violated these Terms
    2. Where delivery of the product cannot be completed due to an unknown delivery address or prolonged absence of the recipient
    3. Where the Company otherwise determines that the relationship of trust between the Company and the User has been damaged
  3. Payment methods, delivery methods, cancellation procedures for purchase applications, return procedures, and other matters related to the Service shall be governed by the methods separately determined by the Company.

Article 5 (Intellectual Property Rights)

Copyright and other intellectual property rights in product photographs and other content provided through the Service (hereinafter referred to as "Content") belong to the Company and other legitimate rights holders, such as content providers, and Users may not reproduce, republish, modify, or otherwise use such Content for secondary purposes without authorization.

Article 6 (Prohibited Acts)

Users shall not engage in any of the following acts when using the Service.

  1. Acts that violate laws, regulations, or public order and morals
  2. Acts related to criminal activity
  3. Acts that infringe upon copyrights, trademark rights, or other intellectual property rights contained in the Service
  4. Acts that destroy or interfere with the functions of the Company's servers or network
  5. Acts of commercially using information obtained through the Service
  6. Acts that may interfere with the Company's operation of the Service
  7. Unauthorized access, or attempts to gain unauthorized access
  8. Acts of collecting or accumulating personal information about other Users
  9. Acts of impersonating other Users
  10. Acts of directly or indirectly providing benefits to antisocial forces in connection with the Company's services
  11. Any other acts that the Company deems inappropriate

Article 7 (Suspension of Service Provision, etc.)

  1. The Company may suspend or discontinue the provision of all or part of the Service without prior notice to Users if it determines that any of the following circumstances apply.
    1. When performing maintenance, inspection, or updates of the computer systems related to the Service
    2. When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
    3. When computers or communication lines, etc. are stopped due to an accident
    4. When the Company otherwise determines that it is difficult to provide the Service
  2. The Company shall not be liable for any disadvantages or damages suffered by Users or third parties due to the suspension or interruption of the Service, regardless of the reason.

Article 8 (Restriction of Use and Deregistration)

  1. The Company may, without prior notice, restrict a User's use of all or part of the Service or delete a User's registration if any of the following circumstances apply.
    1. Where the User has violated any provision of these Terms
    2. Where it is discovered that there are false statements in the registration details
    3. Where the credit card registered by the User as a payment method has been suspended from use
    4. Where there has been a default in payment obligations such as fees
    5. Where there is no response from the User to communications from the Company for a certain period of time
    6. Where there has been no use of the Service for a certain period of time since the last use
    7. Where the Company otherwise determines that use of the Service is not appropriate
  2. The Company shall not be liable for any damages incurred by Users as a result of actions taken by the Company under this Article.

Article 9 (Withdrawal)

Users may withdraw from the Service through the prescribed withdrawal procedure.

Article 10 (Disclaimer of Warranty and Exemption from Liability)

  1. The Company does not guarantee that the Service is free from defects in fact or law (including defects related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, etc., errors or bugs, or infringement of rights).
  2. The Company shall not be liable for any damages incurred by Users arising from the Service. However, if the contract between the Company and a User regarding the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act, this exemption provision shall not apply. Even in this case, the Company shall not be liable for any damages arising from special circumstances (including cases where the Company or the User foresaw or could have foreseen the occurrence of such damages) among the damages incurred by the User due to default or tort caused by the Company's negligence (excluding gross negligence).
  3. The Company shall not be liable for any transactions, communications, or disputes that arise between a User and other Users or third parties in connection with the Service.

Article 11 (Changes to Service Content, etc.)

The Company may change the content of the Service or discontinue the provision of the Service without notifying Users, and shall not be liable for any damages incurred by Users as a result thereof.

Article 12 (Changes to Terms of Service)

The Company may change these Terms at any time without notifying Users if it deems it necessary to do so. If a User begins using the Service after a change to these Terms, that User shall be deemed to have agreed to the revised Terms.

Article 13 (Handling of Personal Information)

The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company's "Privacy Policy."

Article 14 (Notices or Communications)

Notices or communications between Users and the Company shall be made in the manner prescribed by the Company. Unless a User submits a change notification in accordance with the method separately prescribed by the Company, the Company shall consider the currently registered contact information to be valid and shall send notices or communications to that contact information, and such notices or communications shall be deemed to have reached the User at the time of transmission.

Article 15 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer their position under the usage agreement or their rights or obligations under these Terms to a third party, or use them as collateral, without the prior written consent of the Company.

Article 16 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and interpreted in accordance with the laws of Japan. The application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded with respect to the Service.
  2. In the event of a dispute arising in connection with the Service, the court having jurisdiction over the location of the Company's head office shall have exclusive jurisdiction.
